Wistron stock falls after $1.47 billion global share sale

Wistron Corporation stock fell more than 6% on Tuesday after the Taiwanese server maker priced a $1.47 billion global depositary receipt offering at a discount to its previous close.
In a stock exchange filing, the company said it had set the price for 25 million global depositary receipts at $58.88 apiece, with each receipt corresponding to 10 new common shares for a total of 250 million. At roughly NT$186.24 per underlying share, Tuesday's issuance came in 5.5% below the NT$197 level at which Wistron shares ended Monday's session, the filing showed. According to Reuters, the final price landed near the bottom of the marketed range of $58.67 to $59.79 per receipt.
Measured against Wistron's pre-offering share count, the newly issued stock accounts for roughly 7.29% of the total, the company said. Wistron added that it does not expect material dilution of shareholder interests. Settlement is scheduled for Thursday, and Wistron intends to deploy the funds toward foreign-currency procurement of raw materials.
Despite Tuesday's decline, Wistron stock has risen about 23% so far this year.
The fundraising comes as Wistron expands its AI server business. The company opened a $700 million AI server plant in Fort Worth, Texas in July, its first U.S. manufacturing facility, which currently produces Nvidia's GB300 Grace Blackwell Ultra systems and is expected to expand to the next-generation Vera Rubin platform. The Fort Worth facility brought more than 500 positions to the area, with headcount projected to reach 1,000 by year's end.
In the prior month, Wistron's board signed off on NT$10.5 billion in extra capital spending for its Taiwan facilities, along with a combined $53 million allocated to two U.S. subsidiaries to bolster its AI business, the company said.
In the second quarter, Wistron posted NT$895.4 billion in revenue and NT$14.8 billion in profit after tax. In August, Wistron noted that orders for AI servers from hyperscalers and enterprise clients were still outpacing what the industry could deliver.
