Brady Corporation (NYSE:BRC) reported fiscal 2026 sales of $1.66 billion, up 9.8%, including 5.3% organic growth. Operating cash flow increased 34.7% to $244.1 million from $181.2 million. The results preceded the August 3 completion of the $1.4 billion cash acquisition of the Productivity Solutions and Services business, now the Intelligent Productivity Solutions segment.

For fiscal 2027, Brady Corporation (NYSE:BRC) expects adjusted diluted earnings per share of $6.25 to $6.75, including approximately $0.80 of accretion from Intelligent Productivity Solutions after acquisition-financing costs. Most of the acquired contribution is expected during the second half as integration progresses.

Brady Corporation (NYSE:BRC) defines adjusted diluted EPS, a non-GAAP measure, as GAAP diluted EPS excluding the after-tax effects of amortization, non-recurring acquisition-related costs, executive-transition costs, and facility-closure or reorganization costs. Fiscal 2026 adjusted diluted EPS increased 15.0% to $5.29. At the $6.50 guidance midpoint, adjusted EPS would increase approximately 22.9%, with the $0.80 acquisition contribution accounting for about two-thirds of the $1.21 increase.

The portfolio adds mobile computing, barcode scanning, radio-frequency identification and workflow software to existing printers, consumables and specialty materials. The wider installed base creates cross-selling opportunities, while software and services could increase recurring revenue.

Brady Corporation (NYSE:BRC) targets at least $25 million of annual run-rate cost synergies within three years. Fiscal 2026 operating cash flow demonstrates pre-acquisition cash-generation capacity that could support integration and debt reduction. The projected $0.80 contribution is net of financing costs, making the accretion target more meaningful than a pre-financing estimate.

Bear Case

The acquired margin profile points to mix pressure. Brady Corporation (NYSE:BRC) expects Identification Solutions segment profit to equal approximately 20% of sales in fiscal 2027, compared with a low-double-digit percentage for Intelligent Productivity Solutions. The acquired segment's expected revenue equals roughly 69% of fiscal 2026 sales, making consolidated margin dilution a central risk even if earnings rise.

The timing also raises execution risk. Most of the $0.80 contribution is expected in the second half, while the $25 million synergy target applies within three years. Delays in product rationalization, systems separation, customer retention or employee integration could reduce fiscal 2027 accretion.

The disclosed target applies to adjusted EPS. Brady Corporation (NYSE:BRC) did not provide a GAAP EPS accretion target or reconcile its fiscal 2027 adjusted-EPS guidance to GAAP because the excluded items cannot be calculated without unreasonable effort. The fiscal 2026 non-GAAP reconciliation added back $35.7 million of acquisition-related costs and $6.1 million of executive-transition costs before tax.

Brady Corporation (NYSE:BRC) incurred approximately $1.6 billion of debt in connection with the transaction, including roughly $800 million under its credit agreement and $800 million of senior notes. Cash conversion must support integration spending and deleveraging.
