Shares of Corning Incorporated (NYSE:GLW) are down 12% to $145.61 in Monday afternoon trading after the company disclosed a $2 billion at-the-market equity distribution program. The selloff makes Corning the worst performer in the S&P 500 today, and it's dragging a tight cluster of artificial intelligence (AI) optical connectivity peers sharply lower alongside it. Barron's flagged the move as the day's worst in the S&P 500, adding that company-specific dilution is a distinct driver on top of any sector sympathy.

Coherent (NYSE:COHR) stock is down 11% to $273.30, Lumentum (NASDAQ:LITE) stock is falling 9% to $843, and Fabrinet (NYSE:FN) stock is sliding 6% to $389.69. The SPDR S&P 500 ETF Trust (NYSEARCA:SPY) is down 0.2%, so Corning stock is falling many multiples harder than the broad market and every optics peer beside it.

Today's decline caps a violent reversal in a name that had ridden hyperscaler capital spending on optical interconnects hard, with Corning up 67.2% year to date heading into the session. The session blends a company-specific dilution event at Corning with a sector selloff hitting the entire optics group at once.

$2 Billion At-the-Market Program Sparks Selloff, according to Corning

Corning disclosed in a Friday regulatory filing that it entered an equity distribution agreement to sell common stock through an at-the-market program raising up to $2 billion. Goldman Sachs (NYSE:GS) is the exclusive sales agent under the agreement. Corning stated net proceeds would go toward general corporate purposes, drawing on a shelf registration filed earlier this year.

Unlike a conventional secondary offering, the program sets no fixed price and no specific share count, leaving Corning in control of the timing, price and size of individual sales, and the company is under no obligation to sell any shares at all. That structure is what's amplifying the reaction, because holders can't know when the supply arrives on top of an already-large advance in Corning shares this year.

Sector Selloff Hits Optical Peers

The optics group is being sold independently of the Corning filing. Coherent, Lumentum and Fabrinet haven't released major announcements today, and their share-price declines track sympathy tied to a weekend argument from senior AI laboratory figures for slowing the pace of frontier capability gains. That commentary reads directly through to the optical interconnect that data center buildouts consume, and it landed on the same session as the Corning news.

NVIDIA (NASDAQ:NVDA) sits at the center of that read-through as the key optical connectivity customer and partner across these names. NVIDIA has separately committed funding through a warrant arrangement to support Corning's optical capacity expansion, which is part of why the stock ran as far as it did into the filing. Any softening in the AI-capex debate feeds through to Coherent, Lumentum and Fabrinet before it touches Corning's contracted book.

Differentiation Within the Optics Group

The year-to-date ordering complicates the tidy version of today's move. Lumentum stock is up 128.7% year to date and fell less than Corning today, which cuts against the reading that the most extended optics name gets hit hardest. Fabrinet fell least of the four despite being the only one of them lower for the year.

This ranking tracks the dilution news at Corning rather than the size of each name's prior run. On the bull side, the capital funds optical capacity that hyperscalers have already contracted for at Corning, and a company issuing equity after a large advance is selling something the market itself bid up. Set against that, an open-ended issuance mandate leaves holders of Corning unable to judge when the supply lands, and today's session is the market pricing that uncertainty on top of the sector move.

What to Watch Next

Corning's next disclosure on program usage could matter more to the price than the headline dollar figure, because size and pacing are what the at-the-market structure keeps opaque. Investors can watch for any follow-through in Coherent, Lumentum or Fabrinet if the AI-capex debate widens beyond the weekend commentary.
