Hive Digital Technologies Chief Financial Officer Darcy Daubaras joined Steve Darling from Proactive to discuss the appointment of renowned capital markets executive Hubert Marleau as an Independent Director of HIVE's wholly owned subsidiary, BUZZ High Performance Computing (BUZZ HPC), a move designed to strengthen governance and strategic oversight as the company expands its sovereign AI infrastructure platform across Canada.

Daubaras said Marleau's appointment brings an exceptional level of experience in capital markets, corporate governance and strategic growth at a pivotal time for BUZZ HPC. As demand for artificial intelligence infrastructure continues to accelerate globally, HIVE is positioning BUZZ HPC as a key provider of sovereign AI computing solutions, and management believes Marleau's expertise will help guide the business through its next phase of expansion.

Marleau has spent more than five decades working across North American capital markets and is widely recognized as one of Canada's most experienced investment and governance professionals. His career spans investment banking, asset management, corporate finance and public company leadership, giving him a unique perspective on scaling businesses, raising capital and creating shareholder value.

A co-founder of Palos Capital Corp. and Palos Management Inc., Marleau has held influential leadership positions throughout Canada's financial sector. His extensive resume includes serving as a Governor of both the Montreal and Vancouver stock exchanges, Chairman of the Toronto Stock Exchange Listing Committee and a director of the Investment Dealers Association of Canada, now known as IIROC.

Over the course of his distinguished career, Marleau has served as a current or former director of more than 50 publicly traded companies in Canada and the United States. He has also played a key role in raising both public and private capital for hundreds of issuers and has advised on numerous mergers, acquisitions and financing transactions across a wide range of industries.

Daubaras noted that Marleau's deep understanding of corporate governance and capital formation will be particularly valuable as BUZZ HPC continues to build out its AI-focused infrastructure platform and pursue opportunities in the rapidly evolving high-performance computing sector.

Yeah, lots of stuff to talk about. Uh most recently uh news out that you have brought on a markets executive, a big capital markets guy, Hubert Marlo on the board of directors. So uh this is a buzz, your high performance computing arm. Uh pretty exciting announcement, Darcy.

It absolutely is. This is a really important appointment for the next stage of of our subsidiary Buzz HPC. As we've seen and the market has seen with the business scaling, we want to make sure that the governance and experience around the board is able to scale with it. So, you know, Hubert is brings an extraordinary depth of market, uh capital market experience. He's got more than five decades of experience with Canadian US capital markets and has had been a director of more than 50 public companies. to have him agree to join our board is is huge for the success and and the governance moving forward for, uh, for Buzz HPC as we uh, as we um, uh, take this to the next level and expand it.

Yeah, he's been uh not only working on as far as working with hundreds of issuers as you mentioned, but on the corporate finance, asset management, public companies, all this. But he also has had some governance on um the markets themselves, the Toronto Stock Exchange and and other as well. Investment Dealer Association of Canada, which is also now known as IROC. Like he has a lot of experience in a lot of different areas.

Absolutely. So bringing someone with his pedigree onto the board of of Buds HPC, you know, helps to strengthen our Canadian sovereignty. You know, we've been building uh within Canada our relationship with Bell Canada. We're going to be putting two clusters into the facility in Merritt, British Columbia. And having Hubert with his vast amount of experience as you'd mentioned in the capital markets, also on the Toronto and and uh Vancouver exchanges, he's just going to bring that extra experience, a different independent perspective to Buzz in a period when we're going through this growth where capital allocation is very key, governance and accountability become more and more increasingly uh strategic as we build out the infrastructure within Canada.

And I guess lastly, uh, you know, you've got a lot of experience as far as yourself and and Frank Holmes and others like that. And and adding that that extra layer on on the board of directors really allows the company as you mentioned to take steps forward that that may take them, you know, a shorter amount of time than you would if if you were just running off off off a regular board, not someone with this type of experience.

Ab absolutely. With his experience within Canada, working within the markets on the exchanges, that kind of expertise that he's going to bring to the board is going to help to accelerate our our expansion, his advisory as being a part of the board, is really going to help us navigate the Canadian markets even more and more uh clearly than we have been already. You know, this is an important signal to the markets uh for Buzz HPC in terms of how we're intending to grow. We're very ambitious, but we want to be growing with governance, discipline capital allocation and this independent oversight with his experience and his connections is going to be instrumental to the next phase of Buzz HPC and Hive as the parent company.
