Brookfield Business Corporation (NYSE:BBUC) will participate in Brookfield's proposed acquisition of Reliance Worldwide Corporation, announced September 15. The transaction values the plumbing-products manufacturer at approximately US$2.8 billion in enterprise value, excluding lease liabilities. The investment group plans to acquire 100% ownership.

Funding will come through the Brookfield Capital Partners strategy and Brookfield Business Corporation (NYSE:BBUC). The listed company's capital contribution and ownership percentage remain undisclosed, so the overall enterprise value should not be treated as its investment.

Reliance's board unanimously recommends the deal in the absence of a superior proposal and subject to an independent expert concluding, and continuing to conclude, that it serves shareholders' best interests. Completion is expected in the first quarter of 2027, subject to shareholder, court, regulatory and government approvals and other conditions. Reliance can solicit alternatives through October 16, 2026, under the corrected go-shop timetable.

Bull Case

Reliance brings established plumbing brands, including SharkBite, and exposure to repair, replacement, and remodeling. Aging homes require maintenance even when new construction slows, supporting demand beyond housing starts.

Push-to-connect fittings offer an installation advantage over traditional joining methods. Wider adoption could support market-share gains, while retail and wholesale relationships provide channels for selling additional plumbing products.

Brookfield Business Corporation (NYSE:BBUC) could benefit if Brookfield's industrial operating experience improves manufacturing efficiency, procurement, and distribution. Greater product adoption and better cash generation provide two potential sources of investment returns.

Reliance is already adjusting its manufacturing footprint. Its fiscal 2026 presentation described production expansion in Poland and a planned Mexican facility. Successful execution could improve cost competitiveness and supply flexibility.

Financing commitments are disclosed. Brookfield Capital Partners VII L.P. committed up to US$1.5 billion of equity to the bidding vehicle. Lenders committed up to US$1.65 billion, comprising a US$1.35 billion senior secured first-lien term facility and an asset-based revolving facility with capacity of up to US$300 million.

The term debt will fund part of the purchase consideration, refinance existing debt, and cover transaction expenses. Funding remains subject to the agreements' conditions, and the revolving commitment represents available capacity rather than an assumed full draw.

These arrangements clarify the funding structure but leave the allocation to Brookfield Business Corporation (NYSE:BBUC), borrowing costs, and deal-specific return expectations undisclosed. Interest and repayment obligations will influence the cash ultimately available to equity investors.

Reliance also faces an uneven operating environment. Reported fiscal 2026 net sales were approximately US$1.306 billion, down 0.7%. Management identified weak U.S. and U.K. end markets, tariffs, and input-cost inflation as performance pressures. Repair demand provides resilience, but remodeling and construction remain sensitive to household spending and financing conditions.

Manufacturing changes must preserve product quality, delivery reliability and customer relationships. Those execution demands matter more when operating cash must also support acquisition debt.
