Blackstone picked quite a week to sell Italian subs to the market, but maybe that's exactly the moment to take a breath, look around, and put some faith (and some capital) in the enduring magic of provolone and Danny DeVito.

WHAT HAPPENED

Jersey Mike's priced its IPO at $23 a share Tuesday night, the same 24 hours the Nasdaq officially slid into correction and 3 Fed officials staged a mutiny against their own chair. Demand did not care. The deal went ten times oversubscribed, raised roughly $1 billion, and became the largest US consumer listing of the year, landing dead center of its $21-to-25 range.

That said, chatter around this deal earlier floated a valuation closer to $12 billion. It priced nearer $7.3 billion instead, a hair above the $8 billion Blackstone paid for majority control back in 2024. If you're tasting a little red wine vinegar in those numbers, you're on to something. Ten times oversubscribed, and the sandwich shop still landed below what its own private buyer thought it was worth 2 years ago. That's gotta make Steve Schwarzman feel a little stugatz about the whole deal.

JMKE shares are open to the public Thursday, but roughly 86% of the company's voting power stays exactly where it's lived since 2024: tucked inside the world's largest private equity shop.

WHY IT MATTERS

We can all agree Jersey Mike's makes a genuinely great sub (What? You got a problem with that take?), but valuing its shares is the harder part.

CAVA looks like the obvious comp, since it's the last consumer-food IPO anyone bothered to remember, up double digits this year and still trading like the market's favorite grain bowl. Wrong shop to pair with JMKE's cappacuolo, though. CAVA sells build-your-own Mediterranean bowls to people who photograph lunch before they eat it. Jersey Mike's real mirror is standing one food court over, and it's had a considerably rougher year.

Jersey Mike's CEO Charlie Morrison spent a decade running Wingstop, from 2012 to 2022, and personally walked that company through its own celebrated 2015 IPO. Same franchise-heavy playbook. Same asset-light math. Same guy, pitching the exact unit-economics story to Wall Street for the second time in one career, which either makes him a savant or a man who's found one presentation he refuses to retire.

And Wingstop, right now, is not a flattering mirror to stand next to. The stock is down roughly 40% this year, off more than 60% from its all-time high, dragged there by domestic same-store sales that fell 8.7% in a single quarter and management guidance that flipped from growth to decline. A stock that once commanded 77 to 80 times forward earnings now trades near 34 times, practically a decade low. None of that has anything to do with chicken. It's what happens the moment a beloved, heavily franchised concept runs out of easy new-store math, and the market has to price the actual restaurants instead of the growth story sold via adorable Danny DeVito commercials.

That's exactly the audition Jersey Mike's just walked into. Loyal customers, a founder-built legend, franchisees lining up around the block: the whole highlight reel Wingstop had too, right before same-store sales became the only stat anyone bothered asking about on the earnings call.

WHAT'S NEXT

Not to beat a dead horse (that would be too Jersey), but same-store sales is the number that decides all of this. Inspire Brands, the private owner of Dunkin', Arby's, and Jimmy John's, is reportedly circling its own IPO and almost certainly praying Jersey Mike's opening trade reads as a good omen and not a cautionary tale with extra oregano.
